This policy establishes the standards and procedures that employees, management, representatives, contractors, and other individuals acting on behalf of IT Hardware Inventory LLC are expected to follow when conducting business with customers, suppliers, vendors, government entities, government officials, and other business partners.

The purpose of this policy is to prevent improper influence, protect the integrity of the Company’s business activities, and ensure that business decisions are made based on legitimate and objective business considerations.

2. Prohibition of Bribery and Corruption

IT Hardware Inventory LLC prohibits employees and representatives from directly or indirectly offering, promising, authorizing, giving, requesting, or accepting a bribe or other improper benefit.

A bribe may include money, gifts, services, favors, discounts, employment opportunities, travel, entertainment, or anything else of value that is offered or provided for the purpose of improperly influencing a business decision or obtaining an unfair advantage.

Employees must never provide or accept anything of value when the purpose or reasonable effect is to improperly influence a customer, supplier, government official, procurement decision, contract award, or other business activity.

The prohibition applies whether the conduct occurs directly or through a third party, intermediary, supplier, agent, or other representative.

3. Kickbacks and Improper Payments

IT Hardware Inventory LLC strictly prohibits kickbacks, secret commissions, undisclosed payments, or other improper financial arrangements.

A kickback includes providing or receiving something of value in return for improperly influencing the award, purchase, sale, referral, approval, or performance of a contract or business transaction.

Employees must not request, offer, promise, authorize, or accept kickbacks or secret commissions from customers, suppliers, vendors, contractors, or other business partners.

All commissions, discounts, rebates, referral arrangements, and other payments must have a legitimate business purpose, be properly authorized, accurately documented, and comply with applicable laws and contractual requirements.

4. Government Officials and Public-Sector Transactions

IT Hardware Inventory LLC conducts business with public-sector and government customers and therefore requires particular care when dealing with government officials, employees, agencies, and procurement personnel.

Employees and representatives must not offer or provide money, gifts, entertainment, travel, favors, or anything else of value to a government official for the purpose of influencing an official action, procurement decision, contract award, or other government business activity.

Employees must also not request or accept confidential or improperly obtained information relating to a government procurement process.

All government-related quotations, bids, purchase orders, invoices, certifications, and other documents must be accurate, complete, and submitted in accordance with applicable requirements.

5. Responding to a Bribe or Improper Request

If an employee or representative of IT Hardware Inventory LLC is asked to provide a bribe, kickback, improper payment, personal benefit, or other inappropriate advantage, the employee must not agree to or make the payment.

The employee should politely decline the request and promptly report the matter to company management.

Where appropriate, the employee should document the relevant details, including the person making the request, the nature of the request, the date, the transaction involved, and any supporting communications or documentation.

Employees should not attempt to conduct their own investigation or place themselves in an unsafe situation. Management will determine the appropriate response and whether further action or reporting is required.

6. Responding to Offers of Bribes or Kickbacks

If an employee is offered a bribe, kickback, secret commission, or other improper benefit, the employee must refuse the offer and promptly notify company management.

Employees must not negotiate, accept, conceal, or facilitate an improper payment or benefit.

The Company expects employees to use sound judgment and seek management guidance whenever they are uncertain whether a proposed payment, benefit, gift, or arrangement could create a compliance concern.

7. Business Decisions Must Be Objective

Business decisions at IT Hardware Inventory LLC must be based on legitimate business considerations such as price, quality, availability, delivery requirements, qualifications, reliability, contractual requirements, and customer needs.

Employees must not allow personal financial interests, gifts, favors, entertainment, relationships, or other personal benefits to improperly influence business decisions.

No employee should provide preferential treatment to a supplier, customer, contractor, or other business partner in exchange for a personal benefit.

8. Third Parties and Business Partners

IT Hardware Inventory LLC expects suppliers, vendors, contractors, representatives, and other third parties acting on behalf of the Company to conduct business ethically and in compliance with applicable laws.

The Company does not permit third parties to make improper payments or engage in conduct that the Company would be prohibited from engaging in directly.

Where appropriate, the Company may take reasonable steps to evaluate compliance risks associated with business partners and may address or terminate relationships where serious misconduct or compliance violations are identified.

9. Accurate Records and Documentation

All Company transactions must be accurately recorded and supported by appropriate documentation.

Employees must not create false, misleading, incomplete, or inaccurate records to conceal a payment, gift, expense, commission, discount, transaction, or other business activity.

No undisclosed or unrecorded fund, account, payment, or transaction may be established or maintained for an improper purpose.

10. Reporting Suspected Violations

Employees, representatives, and other business partners are encouraged to report suspected bribery, corruption, kickbacks, fraud, improper payments, or other violations of this policy.

Reports should be made to company management through the Company’s established communication channels.

Employees are expected to report concerns in good faith when they have a reasonable basis to believe that misconduct may have occurred or may be occurring.

11. Investigation and Corrective Action

IT Hardware Inventory LLC takes reports of potential bribery, corruption, kickbacks, and other compliance violations seriously.

Reported concerns may be reviewed and investigated by appropriate company management. The Company may review relevant records, communications, transactions, and other information as necessary to determine the facts.

Where a violation is identified, the Company may take appropriate corrective action, which may include disciplinary measures, termination of employment or business relationships, contractual remedies, or referral to appropriate authorities where required.

12. Non-Retaliation

IT Hardware Inventory LLC does not tolerate retaliation against an employee or other individual who raises a compliance concern or reports suspected misconduct in good faith.

Individuals who report concerns honestly are expected to be treated fairly and respectfully.

However, knowingly making false allegations or intentionally providing misleading information may itself constitute misconduct and may result in appropriate action.

13. Compliance with Applicable Laws

IT Hardware Inventory LLC is committed to complying with applicable anti-bribery, anti-corruption, fraud prevention, procurement integrity, and other relevant laws and regulations.

Where applicable to the Company’s activities, this includes the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, and applicable federal, state, and local requirements.

Where a law or contractual requirement establishes a stricter standard than this policy, the stricter requirement must be followed.

14. Employee Responsibility

Every employee and representative of IT Hardware Inventory LLC is responsible for understanding and following this policy.

Employees are expected to seek guidance from company management whenever they are unsure whether a proposed payment, gift, expense, business arrangement, or other activity could create a bribery, corruption, kickback, or ethical concern.

Failure to comply with this policy may result in appropriate corrective or disciplinary action.

15. Policy Review

IT Hardware Inventory LLC will periodically review this policy and may update it as necessary to reflect changes in applicable laws, regulations, contractual requirements, and Company operations.
